To advise the Governing Body on matters of good governance, on the conferment of Honorary titles and on the Governing Body’s own membership.

Terms of Reference
1. Having regard to the balance of skills and experience required, the need to draw from appropriate constituencies, and the ethos and history of the College, to invite and consider nominations for appointment to the Governing Body.
2. To make recommendations on the conferment of College Fellowships.
3. To make recommendations on the conferment of Honorary Degrees and other distinctions, honoris causa.
4. To consider in the first instance any proposals to amend the Statutes or Ordinances of the College before submitting proposals for consideration by the Governing Body.
5. To advise the Governing Body on the following matters concerning College committees:
· the need for them and their effectiveness;
· their terms of reference, constitution and membership structure;
· the appointment of lay Governors to College committees;
· general and specific rules of attendance, rotation, retirement, length of service and concerning the appointment and election of members.
